Introduction
1. These terms and conditions apply to your use of and access to the Demo Trading platform (the “Demo Trading Platform”) provided by Binance (these ”Demo Trading Terms of Use”).
2. These Demo Trading Terms of Use are supplemental to, form part of and are subject to the Binance Terms of Use (as updated and amended from time to time, the “Binance Terms of Use”). Capitalised terms used in these Demo Trading Terms of Use but not defined shall have the same meaning as in the Binance Terms of Use. The Demo Trading Platform constitutes a Binance Service and these Demo Trading Terms of Use constitute Product Terms.
3. If you access or use (or attempt to access or use) the Demo Trading Platform, you will be deemed to have agreed to these Demo Trading Terms of Use and the Binance Terms of Use. Binance may amend these Demo Trading Terms of Use in its sole and absolute discretion at any time, with or without further notice to you.
4. In the event of any conflict or inconsistency between these Demo Trading Terms of Use and the Binance Terms of Use, these Demo Trading Terms of Use shall prevail with respect to the services contemplated hereunder, unless expressly stated otherwise.
Access to the Demo Trading Platform and Termination
5. There are no fees to access and use the Demo Trading Platform. However, Binance reserves the right to implement fees at a future date, in its sole and absolute discretion.
6. To access and use the Demo Trading Platform, you must create a Demo Trading account (a “Demo Trading Account”). A Demo Trading Account is separate and distinct from any accounts on the Platform for the purposes of live trading (the “Live Platform”). We are under no obligation to open any account on the Live Platform for you if we open a Demo Trading Account for you. The opening of any other account will be subject always to the conditions for that particular account.
7. We may refuse to open a Demo Trading Account for you at our sole and absolute discretion and do not have to provide reasons for doing so. We reserve the right to adjust the eligibility requirements of the Demo Trading product from time-to-time. There is no assurance that you will continue to meet any eligibility requirements that may apply. If you are ineligible to use the Demo Trading Platform, you must not access nor use Demo Trading Platform in any way.
8. We may suspend or terminate your access to, and/or use of, the Demo Trading Platform or any Demo Trading Account at any time and for any reason (with or without prior notice).
9. We may suspend or terminate the operation of the Demo Trading Platform or any related services at any time for any reason. We may also wipe, delete or reset the Demo Trading Platform or launch new testing environments at any time as we deem appropriate, without any obligation to provide notice to you. Any rights accrued prior to the date of termination or the coming into, or continuance in, force of any provision which is expressly or by implication intended to come into or continue to be in force on or after termination.
10. By accessing the Demo Trading Platform, you represent and warrant that accessing and/or using the Demo Trading Platform is not unlawful or prohibited under the laws of your jurisdiction nor under the laws of any other jurisdiction to which you may be subject.
11. We may make any improvement, modifications or updates to the Demo Trading Platform, including but not limited to changes and updates to the underlying software, infrastructure, security protocols, technical configurations or service features (the “Updates”) from time-to-time. We may also remove functionality from time-to-time. Your continued access and use of the Demo Trading Platform are subject to such Updates and any patches, system upgrades, bug fixes, feature modifications, feature removals or other maintenance work that arise out of or in connection with any Updates. We are not liable for any failure by you to use any Updates in the manner specified or required by us.
Nature of the Demo Trading Platform and Demo Trading Tokens
12. The Demo Trading Platform is a simulated trading environment provided for informational and testing purposes only and does not involve real funds.
13. Your use of the Demo Trading Platform involves the use of mock digital protocol tokens (collectively, “Demo Trading Tokens”). Demo Trading Tokens are purpose-built for use exclusively within the sandbox environment of the Demo Trading Platform only.
14. Demo Trading Tokens:
a. are made available by us for testing purposes only;
b. are for use only on the Demo Trading Platform;
c. shall not be used for any purposes other than to access and use the Demo Trading Platform and its system resources as a testing environment and in accordance with the software protocols of the Demo Trading Platform;
d. are temporary in nature and can only be used for a limited period of time that is stipulated by us;
e. have no economic value or monetary value and shall not be exchanged for cash, cash equivalent, or other tokens or cryptocurrencies or traded, offered for rent, lease, sale, or trade in any manner, directly or indirectly, nor attempt to do any of the foregoing; and
f. may from time-to-time have their feature, functionality, or usability voided, upgraded, added to, modified, or removed in our absolute discretion.
15. You agree and acknowledge, and confirm your understanding, that:
a. The Demo Trading Platform is completely separate from the Binance mainnet, and therefore:
i. hosts data that may differ from Live Platform data;
ii. even if the Demo Trading Platform references the same market data and indices as the Live Platform, there may nevertheless be discrepancies between the data on the Demo Trading Platform and the Live Platform (including, without limitation, latency between the Demo Trading Platform and the Live Platform);
iii. the Demo Trading Platform stands independently from the Binance mainnet, meaning any transactions or changes implemented during testing do not impact or alter the Live Platform nor any live blockchain-based trading network, and the functions supported on the Demo Trading Platform may be different to functions that are implemented on the Live Platform;
iv. the fact that a product or feature is available or accessible on the Demo Trading Platform does not mean that the same product or feature will be available on the Live Platform; and
v. past performance and experience on the Demo Trading Platform is not a reliable indicator of future performance, returns, or experience with the Live Platform (nor any other trading venue);
b. we may at our sole and absolute discretion:
i. cancel any open order requests; or
ii. close, reverse, offset, liquidate, mitigate, deleverage or settle any open positions or trades on the Demo Trading Platform at any time and for any reason at our sole discretion,
in each case, with or without prior notice;
c. the Demo Trading Platform is not exclusive to developers, and are open to engage the wider community, welcoming interactions from all users;
d. we do not act as your agent or fiduciary, and that we do not control or take custody of your Demo Trading Tokens nor other funds in any manner; and
e. the Demo Trading Platform may not be fit for any particular purpose, nor be suitable for you and/or your intended use, and shall not be construed as an inducement to trade on the Live Platform in any way.
Demo Trading Code of Conduct
16. You agree to use the Demo Trading Platform at all times:
a. in a respectful and collaborative manner;
b. only for testing and engineering purposes; and
c. in accordance with these Demo Trading Terms of Use and all Applicable Laws.
17. You agree and confirm your understanding that you are prohibited from using the Demo Trading Platform:
a. for live deployment or creation of applications, tokens, or transactions as though it were a production or similar environment;
b. for conducting or accepting token transfer transactions for value;
c. for commercial purposes;
d. to develop or test any code, software, or other systems and applications that are related to or implicated in any illegal, abusive, offensive, or inappropriate activity or organisation;
e. as a basis for any trading activity or the provision of advice or any professional services to any third party;
f. to rent, lease, loan, trade, sell, re-sell, or otherwise monetize any digital assets or Demo Trading Tokens in any manner;
g. to create any non-temporary token, or conduct or promote any token sale or initial coin offering for value or other similar conduct; or
h. to upload, submit, or transmit any content that is illegal, infringing, harmful, offensive, or inappropriate;
i. in a manner such that members cannot collaborate or exchange ideas;
j. for any illegal activity or in the furtherance of any illegal activity;
k. to engage in any behaviour that is disrespectful to other members of the Demo Trading community, including:
i. angry aggressive comments towards individuals or other community members;
ii. comments regarding political views, religion, ethnicity, sexual orientation or gender;
iii. harassing other individuals or projects (trolling);
iv. distributing false information about Binance, the Live Platform or the Demo Trading Platform; and
v. making disparaging public remarks about Binance, the Live Platform or the Demo Trading Platform.
l. to exploit, attack, or attempt to exploit or attack, the Demo Trading Platform; or
m. to attempt to do any of the foregoing or any of the other prohibited uses or activities as described in the Binance Terms of Use.
18. Any action or attempts that violate the above rules may result in termination or suspension of your access to the Demo Trading Platform.
Disclaimer of Warranties and Limitation of Liability; Consents
19. The Demo Trading Platform is provided on an “as is” and “as available” basis, and we make no warranty or representation, express or implied, regarding the Demo Trading Platform, including, without limitation, that the Demo Trading Platform:
a. will accurately or completely simulate, duplicate or replicate the trading conditions on or behaviours of the Live Platform; nor
b. is fit for any particular purpose or function (including, without limitation, for education purposes or as a guide or advice on how to use the Live Platform or any functionality of the Live Platform).
20. By using the Demo Trading Platform, you acknowledge and agree that use of the Demo Trading Platform is entirely at your own risk and, to the fullest extent permitted by law, we shall not be liable for any losses, damages, liabilities, cost, claim, or expense arising from your access or use of the Demo Trading Platform (including, without limitation, using or duplicating trading methods or strategies when using the Live Platform or any of our other Binance Services).
21. Neither Binance, nor any affiliate or representative of Binance, makes any representation or warranty that the Demo Trading Platform is (i) appropriate for any user or in any particular location, nor (ii) or will continue to be available or appropriate for any user or in any particular location. You are strongly encouraged to carefully review these Demo Trading Terms of Use and seek independent professional advice as to whether the Demo Trading Platform is appropriate for you.
22. By accepting these Demo Trading Terms of Use, you hereby unconditionally and irrevocably; (i) confirm that you understand, accept and assume full responsibility for participating in the Demo Trading Platform together with any and all associated risks with your access and/or use of the Demo Trading Platform, including without limitation the risks described in sub-clause (a), and (ii) have carefully assessed whether, and determined that, the Demo Trading Platform is appropriate for your intended use.
Data Usage and Monitoring
23. By accessing and using the Demo Trading Platform, you confirm that you understand and accept that we may (or a third party may on our behalf) monitor and analyse your activities, and use, extract, copy and disseminate any of your data and materials (whether now or in the future) to help us conduct research, analytics, tests and future developments in relation to Demo Trading Platform and our other services and any other applications, systems, network, database, services or products and create future commercial services and products. You waive any claims of any nature whatsoever in relation to the foregoing, including claims to dispute our ability to monitor and analyse your activities and use, extract, copy and disseminate your data and materials or to transfer your data and materials to a third party for such purpose.
24. You hereby grant us a non-exclusive, royalty-free, worldwide, irrevocable, sub-licensable, and transferable licence to use and display any content, data, information, or materials (excluding any personal information) that you upload or submit to us using the Demo Trading Platform or otherwise.
Indemnity
25. To the fullest extent permitted by Applicable Law, you irrevocably agree and undertake that you will indemnify, defend and hold harmless Binance from and against any claims arising out of, in connection with or related to: (i) your access to or use of the Demo Trading Platform; (ii) your violation of these Demo Trading Terms of Use; (iii) your violation, misappropriation or infringement of any rights of another (including intellectual property rights or privacy rights); and (iv) your conduct in connection with your participation in the Demo Trading Platform.
26. You agree and undertake to promptly notify Binance of any third-party claims, cooperate with Binance in defending such claims and pay all fees, costs and expenses associated with defending such claims (including legal fees and expenses). You also agree that the Binance will have control of the defence or settlement, at Binance’s sole option, of any third-party claims.
Disputes, Governing Law, Jurisdiction and Arbitration
27. The clauses relating to Complaints, Notice of claim, Agreement to arbitrate; Governing law; and Class action waiver of the Binance Terms of Use shall apply to any disputes or claims relating to, arising out of or in connection with these Demo Trading Terms of Use, including your assent to these Demo Trading Terms of Use.
English Language Version Prevails
28. Where any discrepancy arises between the translated versions of these Demo Trading Terms of Use and the original English version of these Demo Trading Terms of Use, the English version shall prevail.
